End User License Agreement (EULA) — Custom MCP Server

Effective Date: July 18, 2026

This section is a separate legal agreement covering the Custom MCP Server software only. It does not apply to purchases, services, or other content associated with Shower Doors of Chattanooga's storefront, which are addressed above.

 


 

1. Acceptance of Agreement

This End User License Agreement ("Agreement") governs use of the Custom MCP Server (the "Software"), a proprietary software integration developed and operated by JK Designer Glass LLC ("Company," "we," "us," or "our") that provides a direct connection to QuickBooks Online ("QBO") data via the Model Context Protocol (MCP). By accessing or using the Software, the authorized user ("User," "you") agrees to be bound by the terms of this Agreement. If you do not agree, do not use the Software.

 


 

2. Description of Software

The Software is a custom-built Model Context Protocol (MCP) server that establishes a direct, authenticated connection between an AI assistant interface and the Company's QuickBooks Online account. It enables the Company's authorized user to query, read, and interact with QBO data (e.g., invoices, customers, reports) through natural-language commands. The Software passes data through in real time and does not independently store, cache, or retain QBO data outside of QuickBooks Online.

 


 

3. License Grant

Subject to the terms of this Agreement, the Company grants a limited, non-exclusive, non-transferable, revocable license to use the Software solely for the internal business purposes of JK Designer Glass LLC. This license is granted to the Company's owner/operator only and may not be sublicensed, sold, rented, or otherwise made available to any third party.

 


 

4. Restrictions

You may not:

  • Copy, modify, reverse engineer, decompile, or disassemble the Software
  • Use the Software in violation of Intuit's Terms of Service, Developer Agreement, or any applicable QuickBooks API usage policies
  • Attempt to gain unauthorized access to any QuickBooks Online account, data, or system through the Software
  • Redistribute, resell, or provide third-party access to the Software without the Company's prior written consent
  • Use the Software for any unlawful purpose

 


 

5. Data Handling

The Software connects directly to QuickBooks Online using authorized API credentials and processes data in real time to fulfill requests. It does not maintain a separate database or persistent storage of QBO data outside of the QuickBooks Online platform. Data accessed through the Software remains subject to Intuit's own privacy and security practices.

 


 

6. Ownership & Intellectual Property

The Software, including its underlying code, architecture, and configuration, is the exclusive property of JK Designer Glass LLC. QuickBooks Online, the QuickBooks name, and associated APIs remain the property of Intuit Inc. This Agreement does not grant any ownership interest in the Software or in Intuit's platform.

 


 

7. Third-Party Services

The Software relies on third-party platforms, including Intuit QuickBooks Online and Anthropic's Model Context Protocol infrastructure. The Company is not responsible for the availability, security, or practices of these third-party services, which are governed by their own respective terms and privacy policies.

 


 

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

 


 

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JK DESIGNER GLASS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF, OR INABILITY TO USE, THE SOFTWARE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR BUSINESS INTERRUPTION.

 


 

10. Term & Termination

This Agreement remains in effect until terminated. The Company may revoke access to the Software at any time, with or without notice. Upon termination, the license granted under this Agreement immediately ends.

 


 

11. Modifications

The Company reserves the right to modify or discontinue the Software, or update this Agreement, at any time. Continued use of the Software after changes constitutes acceptance of the revised Agreement. The latest version will always be posted on this page with its effective date.

 


 

12. Governing Law

This Agreement is governed by the laws of the State of Tennessee, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Hamilton County, Tennessee.
